| Section 1: | The name of the organization shall be Reading for the Future Utah hereafter known as RFFUtah. |
| Section 2: | The duration of the organization is perpetual. |
| Section 1: | The primary area of operation for RFFUtah is the State of Utah. |
| Section 2: | RFFUtah is affiliated with Reading for the Future national foundation. |
| Section 3: | RFFUtah will support, assist and collaborate with the national, regional or other state organizations on request, as approved by the Board of Directors on any project which fulfills the mission of RFFUtah and which is not prohibited by provisions of these bylaws and which does not conflict with Utah state or United States federal regulations. |
| Section 1: | Any person may request membership in RFFUtah. Membership will not be denied on the basis of race, religion or sexual orientation. |
| Section 2: | RFFUtah has no membership dues. |
| Section 3: | Membership in RFFUtah may be suspended or revoked by the Board of Directors for just cause as outlined. |
| Section 1: | All meetings of RFFUtah are open to the public. Minutes of all meetings will be recorded. |
| Section 1: | Meetings will be held at least four (4) times per year to conduct the business of the organization. The current year’s meeting schedule will be set by the membership at the first meeting following the Annual Business Meeting. |
| Section 2: | An annual business meeting will be held each year. Members shall be notified in writing fourteen (14) days prior to this meeting. Notification will include meeting date, place, time and agenda. |
| Section 3: | Special or emergency meetings may be called at the discretion of any member of the Board of Directors. Such meetings require attendance by at least three (3) members of the Board of Directors. |
| Section 1: | Any RFFUtah member in attendance at a business meeting may vote on issues presented at the meeting. |
| Section 2: | Only the Board of Directors may vote during the annual business meeting. |
| Section 3: | A simple majority vote is required to approve a motion, except in cases of votes for removal or appointment of officers, which shall require a two- thirds majority of the Board of Directors. |
| Section 4: | Any member may proxy vote. Any member may grant such proxy to any other member. Written notification of such proxy must be filed in person or by mail with the Secretary before voting commences. |
| Section 1a: | The Board of Directors shall be the governing body of RFFUtah. The Board shall consist of a minimum of three (3) Trustees, the Chair, Secretary-Treasurer, National Representative, and Projects Coordinator. |
| Section 1b: | The term of office for any officer is perpetual until he resigns or is removed from office by the Trustees. |
| Section 2a: | A Trustee serves in an advisory capacity to the operational officers of the organization except in the event of removal from office. |
| Section 2b: | A Trustee is required to review the Annual Report and Financial Records of the organization, approve the planning document for the coming year and performs other duties as outlined. |
| Section 3a: | The Chair is the chief operations officer of the organization. |
| Section 3b: | The Chair is responsible for coordinating all activities of RFFUtah and fulfilling those and related duties as outlined. |
| Section 4a: | The Vice Chair is the second general operations officer of the organization. |
| Section 4b: | The Vice Chair is responsible for assisting the Chair in the coordination of all RFFUtah activities and assisting in fulfilling those and related duties as outlined. |
| Section 5a: | The Secretary-Treasurer acts as the chief fiscal and recording officer of the organization. |
| Section 5b: | The Secretary-Treasurer is responsible for keeping records, disbursing funds, drafting budgets, filing State and Federal tax documents and performs related duties as outlined. |
| Section 6a: | The National Representative acts as liaison to the national organization, other state and regional affiliate organizations. |
| Section 6b: | The Representative maintains contact with representatives from other affiliate organizations, reports back to the Board of Directors, represents RFFUtah at meetings, conferences, etc. and performs related duties as outlined. |
| Section 7a: | The Projects Officer coordinates ongoing and one-time projects in support of the mission of the organization. |
| Section 7b: | The Projects Officer develops plans for new projects for the approval of the Board of Directors, revises plans for existing projects as needed, initiates fund raising in support of those projects, oversees the implementation projects, evaluates and reports progress, reports on finished projects, recommends termination of projects as needed and performs related duties as outlined. |
| Section 1: | RFFUtah has standing committees as specified in the current Policies and Procedures manual as written and amended. Standing committees may not be dissolved except by a two-thirds vote of the Board of Directors. |
| Section 2: | Ad hoc or special committees may be formed by a vote of the Board of Directors. The Board of Directors will appoint a chair of the committee. The composition of the committee may be determined by the Board or may be at the discretion of the Board-Appointed committee chair. A charge to the committee must be presented to the chair of that committee prior to the first general meet of said committee. |
| Section 1: | Ongoing operations are governed by the guidelines set down in the current Policies and Procedures manual as written and amended except as explicitly enumerated in the Articles of Incorporation, Bylaws or State and Federal statutes. |
| Section 2a: | Amendments to the Policies and Procedures Manual, which affect general operations of the organization, require approval by a simple majority at the next scheduled meeting before being instituted. |
| Section 2b: | Amendments to the Policies and Procedures Manual, which affect a single department, may be approved by the Chair for immediate institution pending approval by a simple majority at the next scheduled meeting. |
| Section 1: | RFFUtah will maintain records of its annual budget, accounting records of all receipts and expenditures, banking records, tax records and all other fiscal documents as required by State and Federal statutes. |
| Section 2: | A yearly audit of fiscal records will be performed as required in the current Policies and Procedures manual as amended. |
| Section 1: | Proposed amendments to the bylaws shall be presented to the membership in writing at least thirty (30) days prior to a vote on said amendment. |
| Section 2: | A vote of two-thirds majority of the membership is required to adopt an amendment. |
| Section 3: | Written ballots are required for a vote on an amendment. |
| Section 1: | The Trustees shall have the power to dissolve the organization in the event the organization is no longer a) performing the mission for which it was founded, b) ceases to function or c) the officers of the organization are found to be engaged in conduct which violates State or Federal statutes. |
| Section 2: | Under the direction of the Trustees, the operations officers will terminate the operation of RFFUtah as required by State and Federal regulations. |
